1. Introduction

These Terms of Service ("Terms") govern your use of Vyxen ("we," "our," or "us"). By accessing Vyxen, you agree to these Terms. If you do not agree, you must not use Vyxen. We reserve the right to modify these Terms at any time, and your continued use constitutes acceptance of any updated Terms.

2. Key Definitions

• Member: Any individual who creates an account on Vyxen.
• Creator: A Member who shares Material on the platform, either for free or general access.
• Partner: A Creator who monetizes premium Material through subscriptions or other paid interactions.
• Material: Content shared on Vyxen, including text, photos, videos, audio, and other media.
• Subscription: A payment arrangement granting access to a Partner's premium Material for a specified time.
• User: Any person who accesses or uses Vyxen, including Members, Creators, and Partners.

3. Eligibility

Vyxen is an adult platform. To access Vyxen, you must:

• Be at least 18 years old (or the age of majority in your jurisdiction, whichever is greater);
• Be legally permitted to access Vyxen in your jurisdiction;
• Provide accurate and truthful information during registration;
• Maintain the security of your account and notify us of any unauthorized access.

We may require age or identity verification at any time. We reserve the right to deny or revoke access to anyone who fails to meet these requirements.

4. Account Registration

To use certain features of Vyxen, you must create an account. During registration, you will:

• Provide a valid email address, username, and password;
• Agree to these Terms and our Privacy Policy.

You are responsible for all activity under your account and agree not to share login credentials with others.

5. Use of the Platform

Members, Creators, and Partners are responsible for ensuring their use of Vyxen complies with these Terms and applicable laws. Prohibited activities include, but are not limited to:

• Sharing illegal, harmful, or explicit Material involving minors;
• Engaging in hate speech, harassment, or impersonation;
• Posting content that violates intellectual property rights or privacy laws;
• Uploading content depicting non-consensual acts, extreme violence, or other material prohibited by our content guidelines;
• Using Vyxen for fraud, scams, or unlawful activities.

We actively moderate content on the platform and reserve the right to remove any Material or suspend accounts that violate these policies without prior notice.

6. Content Ownership and Licenses

• You retain ownership of any Material you upload but grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your Material as necessary to operate Vyxen.
• By uploading Material, you represent and warrant that you have all rights necessary to do so and that your Material does not infringe on any third-party rights.

7. Content Review and Pre-Screening

To ensure that all content on Vyxen is lawful and compliant with our standards, all user-uploaded Material is subject to review before it is published or made available to other users.

• Pre-Publication Review: All Material uploaded by users, including images, videos, and other media, is reviewed by our moderation team or automated content screening systems before it becomes publicly accessible on the platform.
• Compliance Standards: During the review process, Material is evaluated to confirm that it does not contain illegal content, does not depict minors, does not include non-consensual imagery, and does not otherwise violate these Terms of Service or applicable laws.
• Review Timeline: We aim to complete content reviews promptly. Material that passes review will be published without unnecessary delay.
• Rejection and Notification: If uploaded Material is found to violate our standards, it will not be published. The uploading user will be notified of the rejection and the reason for it. Repeated violations may result in account suspension or termination.
• Ongoing Monitoring: In addition to pre-publication review, Vyxen reserves the right to review, remove, or disable access to any Material at any time if it is found to violate these Terms, our content guidelines, or applicable laws.

8. Payments and Transactions

All payments on Vyxen are processed by our authorized third-party billing provider, CCBill. When you make a purchase, you will be directed to CCBill's secure payment page. Charges will appear on your billing statement as "CCBill" or a similar descriptor.

• By completing a purchase, you authorize CCBill to charge your selected payment method for the agreed-upon amount, including any recurring charges for Subscriptions.
• Vyxen does not store your full payment card details. All payment data is handled by CCBill in accordance with PCI-DSS standards.
• Partners receive payouts after deduction of platform fees and applicable taxes, subject to minimum thresholds.
• Vyxen is not responsible for payment processing delays or errors caused by CCBill or your financial institution.

9. Subscriptions and Cancellations

When you subscribe to a Partner's premium Material, you are entering into a recurring billing arrangement. Please review the following carefully:

• Recurring Billing: Subscriptions automatically renew at the end of each billing period (monthly or as otherwise specified) at the same price unless the Partner changes their pricing, in which case you will be notified before your next renewal.
• How to Cancel: You may cancel your Subscription at any time through your account settings. To avoid being charged for the next billing period, cancellation must be completed at least 24 hours before the renewal date.
• Access After Cancellation: If you cancel a Subscription, you will continue to have access to the Partner's premium Material until the end of your current paid billing period. After that, access will be revoked.

10. Refunds and Chargebacks

Payments made on Vyxen are generally non-refundable, except as required by applicable law. If you believe you are entitled to a refund, please contact us at support@vyxen.net before initiating a chargeback with your bank.

• Refund requests are reviewed on a case-by-case basis. We aim to respond within 5 business days. Approved refunds will be issued to the original payment method.
• If you do not recognize a charge from CCBill on your statement, please contact us or CCBill's consumer support before filing a dispute.
• Filing a fraudulent chargeback instead of contacting us first may result in suspension or termination of your account.

11. Partner and Creator Obligations

• Creators and Partners must comply with applicable laws, including tax regulations, and provide accurate payment and identification information.
• Partners are responsible for setting subscription prices and fulfilling commitments to Subscribers.
• Partners must ensure that all premium Material is uploaded and accessible as promised.
• Partners who produce or upload adult content must complete our identity and age verification process.
• Partners must ensure that all individuals depicted in their Material have given documented consent and are at least 18 years of age.

12. Privacy and Data Protection

Your use of Vyxen is subject to our Privacy Policy, which outlines how we collect, use, and protect your personal information.

13. Account Suspension and Termination

We reserve the right to suspend or terminate accounts for any of the following reasons:

• Breach of these Terms;
• Posting prohibited Material;
• Engaging in fraudulent or illegal activities;
• Repeated violations of community guidelines.

14. Intellectual Property and DMCA

Members, Creators, and Partners are prohibited from uploading Material that infringes on the intellectual property rights of others. Vyxen respects copyright laws and complies with the Digital Millennium Copyright Act (DMCA).

• If you believe that Material on Vyxen infringes your copyright, you may submit a DMCA takedown notice to our designated agent at: support@vyxen.net. Your notice must include: (1) identification of the copyrighted work, (2) identification and location of the allegedly infringing Material on Vyxen, (3) your contact information, (4) a statement that you have a good-faith belief the use is unauthorized, and (5) a statement under penalty of perjury that the information in the notice is accurate and that you are the copyright owner or authorized to act on their behalf.
• Upon receipt of a valid DMCA notice, we will promptly remove or disable access to the allegedly infringing Material and notify the user who posted it.
• Repeat infringers will have their accounts terminated.

15. Platform Changes

We reserve the right to update, modify, or discontinue any features or services on Vyxen at our discretion without prior notice.

16. Indemnity

Except to the extent prohibited by law, you agree to defend, indemnify, and hold Vyxen, its affiliates, and their respective directors, officers, employees, affiliates, agents, contractors, third-party service providers, and licensors (the "Vyxen Entities") harmless from and against any claim or demand made by any third party, and any related liability, damage, loss, and expense (including costs and attorneys' fees) due to, arising out of, or in connection with:

• your use of the Services;
• your violation of these Terms;
• your violation of applicable laws or regulations; or
• your Material.

We reserve the right to control the defense of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims.

17. Dispute Resolution

If you have a complaint or dispute regarding the Services, please contact us first at support@vyxen.net. We will make a good-faith effort to resolve any issue informally.

• If we are unable to resolve a dispute informally, both parties agree to attempt mediation before pursuing arbitration or litigation.
• Any dispute that cannot be resolved through mediation shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the Commonwealth of Pennsylvania.
• You agree that any claims will be brought on an individual basis and not as part of a class action or representative proceeding.

18. Disclaimer of Warranties and Limitation of Liability

Vyxen is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory.

• To the maximum extent permitted by law, Vyxen shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the platform.
• We are not responsible for Material uploaded by users or for interactions between users.
• Our total liability for any claims under these Terms shall not exceed the amount you have paid to Vyxen in the twelve (12) months preceding the claim.

19. Amendments to These Terms

We may update these Terms at any time. Continued use of Vyxen constitutes acceptance of the revised Terms.

20. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict-of-law provisions. You agree to submit to the personal jurisdiction of the courts located in Pennsylvania for the resolution of any disputes not subject to arbitration.

21. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions will continue in full force and effect.
